AN ORDINANCE

appointing corporate officers and directors of Southmark Development, Inc., a corporation wholly owned by the City of Columbia; authorizing the conveyance of Southmark Development, Inc. property to the City; authorizing dissolution of Southmark Development, Inc.; accepting a conveyance of land; authorizing the City Clerk to record certain documents; and fixing the time when this ordinance shall become effective.

BE IT ORDAINED BY THE COUNCIL OF THE CITY OF COLUMBIA, MISSOURI, AS FOLLOWS:

    SECTION 1.  The City Manager is authorized and directed to execute, on behalf of the City of Columbia as owner of 100% of the shares of Southmark Development, Inc., the “Actions by Consent of Shareholder of Southmark Development, Inc.”, a copy of which, marked “Exhibit A” is attached to this ordinance.

    SECTION 2.  The City Clerk is authorized and directed to cause a copy of this ordinance to be recorded in the office of the Boone County Recorder of Deeds.

    SECTION 3.  Upon execution of the Warranty Deed attached to Exhibit A, the City of Columbia accepts the conveyance and the City Clerk is authorized and directed to have the conveyance recorded in the office of the Boone County Recorder of Deeds.

    SECTION 4.  This ordinance shall be in full force and effect from and after its passage.
